Terms and Conditions

Boon provides digital and creative services as described on our website or in a written proposal or invoice. Specific deliverables, timelines, and inclusions are detailed per product or package type:

• Website Design & Development: Includes layout, configuration, and customization of websites per the selected package. Content entry, SEO setup, and revisions are limited to what is outlined in the package details.

• Website Migrations: Covers transfer of website content, structure, and design from one platform to another (e.g., Wix to WordPress) as defined in the selected package.

• Hosting & Maintenance: Includes website hosting, essential security updates, and ongoing technical maintenance. Advanced features or edits beyond the maintenance plan are billed separately.

• Audits: Covers an evaluation of website performance, SEO, and/or conversion metrics as specified. Recommendations are advisory and implementation is not included unless otherwise agreed.

• Consulting: Involves strategy, SEO, or development consulting sessions billed hourly or per block of hours.

• Retainers: Cover ongoing development, maintenance, or content work as described in the retainer plan.

• Payment is due at the time of purchase unless otherwise specified.

• Project-based services (such as website builds or migrations) may require a deposit (typically 50%) with the remaining balance due before final delivery.

• Retainer and hosting plans are billed automatically on a monthly basis.

• Payments are due within 14 days of delivery and late payments may incur a 5% monthly fee unless other terms are agreed to in writing.

• Boon reserves the right to pause work or disable hosting for overdue invoices exceeding 10 days.

Unless otherwise stated:

• Website design and migration packages include two rounds of revisions per major deliverable. Additional revisions are billed at our hourly consulting rate.

• Approval of any deliverable constitutes acceptance of the work. Once accepted, any further changes are considered new work and subject to additional fees.

You agree to:

• Provide timely access to content, logins, and approvals necessary to complete the work.

• Ensure all content (text, images, and media) you provide is owned by you or properly licensed.

• Review and respond to communications promptly to avoid delays.

Boon is not responsible for project delays resulting from missing content, feedback, or approvals.

For websites hosted by Boon:

• Hosting includes uptime monitoring, server maintenance, and essential security updates.

• Clients are responsible for their domain registration and renewals unless otherwise arranged.

• Boon is not liable for downtime caused by third-party providers, DNS changes, plugin conflicts, or issues resulting from user modifications.

• Hosting plans may be canceled with 30 days’ written notice.

• Upon cancellation, Boon will provide a copy of the most recent backup.

• Upon full payment, you own the rights to the final website design, graphics, and text content specifically created for your project.

• Boon retains the right to showcase completed work for portfolio, marketing, and educational purposes.

• Any proprietary frameworks, code libraries, or design systems developed by Boon remain Boon’s intellectual property and may not be resold or reused without permission.

Both parties agree to treat all non-public information shared during the project as confidential and not to disclose it to third parties without consent.

• Because our services are digital and often custom-built, all sales are final once work has begun.

• Refunds may be granted at Boon’s discretion only for services not yet initiated.

• Retainer and hosting subscriptions may be canceled at any time with 30 days’ notice; the current billing period is non-refundable.

Both parties agree to treat all non-public information shared during the project as confidential and not to disclose it to third parties without consent.

To the fullest extent permitted by law:

• Boon shall not be liable for any indirect, incidental, or consequential damages, including lost profits, data loss, or downtime.

• Boon’s total liability under any agreement shall not exceed the total amount paid by you for the service in question.

You agree to indemnify and hold Boon harmless from any claims, damages, or expenses arising out of content you provide, third-party materials, or your use of the delivered work.

User certifies that they were already planning to transfer from Wix but it would be helpful to have something similar to existing outward appearance. 

Either party may terminate a project for material breach with 10 days’ written notice and an opportunity to cure. Work completed up to termination will be invoiced at consulting rate and payable immediately.

Boon is an independent contractor. Nothing in this agreement constitutes a partnership, joint venture, or employment relationship between you and Boon.

This Agreement shall be governed by the laws of the State of Wyoming (where Boon Digital Solutions is registered), without regard to conflict-of-law principles.

Boon may update these Terms from time to time. The latest version will always be posted on our website, and continued use of our Services indicates acceptance of the updated Terms.
